Agreement Parameters
This Independent Contractor Agreement (the "Agreement") is entered into on Today's Date, between Alex Morgan ("Contractor"), and Apex Growth LLC ("Client").
1. Scope of Services
Design and development of custom modern web application, including responsive Figma prototypes, component library, and production deployment.
2. Compensation & Payment Terms
Client agrees to compensate Contractor according to the following agreed structure: 50% upfront deposit upon signing, remaining 50% upon final delivery.
3. Revisions & Scope Changes
This agreement includes 2 rounds of structured revisions. Any out-of-scope requests or major redesigns shall be billed separately at Contractor's standard hourly rate.
4. Intellectual Property & Ownership
Upon receipt of full and final payment, Contractor hereby assigns to Client all right, title, and interest in and to the final deliverables.
5. Termination
Either party may terminate this Agreement by providing 14 calendar days written notice to the other party.
